Terms of Service

These Terms of Service govern access to and use of UGC Trackr, including its websites, application, APIs, and related services.

The service is provided by PLAYKIT LLC, a California limited liability company, referred to as “Trackr,” “we,” “us,” or “our.”

By accepting these Terms or using the service, you agree to them. If you use Trackr on behalf of a company or other organization, you represent that you have authority to bind that organization.

Our Privacy Policy explains how we handle personal information.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms.

Provide accurate account information and protect your credentials. You are responsible for activity conducted through your account and for promptly notifying us of suspected unauthorized access.

Organizations are responsible for managing their authorized users, workspace permissions, invitations, and connected accounts. We may rely on instructions from authorized workspace administrators.

2. The service

Trackr provides tools for creator and campaign management, content submission and review, social-account connections, reporting, automated publishing, and payment administration.

Features, usage limits, and availability depend on your plan, settings, location, and connected services. We may modify the service over time. Any specific service levels or commitments apply only if included in a separate written agreement.

Public metrics, third-party data, attribution estimates, and AI outputs may be delayed, incomplete, or inaccurate. You remain responsible for reviewing information before relying on it.

3. Subscriptions, trials, and billing

Paid services are billed according to the plan, billing interval, and terms presented at purchase or in a written order.

Subscriptions renew automatically unless cancelled before renewal. You authorize the payment provider to charge applicable subscription fees and taxes using your selected payment method.

If a trial is offered, its duration and conversion terms will be disclosed when you enroll. A trial requiring a payment method may convert to a paid subscription unless cancelled before the trial ends.

You can manage cancellation through the available billing controls or contact support@ugctrackr.com. Unless otherwise disclosed or agreed, cancellation takes effect at the end of the current paid period.

Fees are generally non-refundable, and we do not routinely provide prorated refunds for unused subscription time. We may grant refunds at our discretion. This does not limit refunds or other remedies required by applicable law.

Plan changes, add-ons, and applicable prorations are governed by the information presented when the change is made. We will provide notice of price changes as required by law and applicable agreements.

We may restrict access for overdue payments, subject to applicable law and any separate agreement. Cancellation or loss of access does not erase outstanding payment obligations.

4. Sponsored and agency-managed workspaces

A brand or agency may provide or sponsor access to Trackr. Sponsored access and the information visible through it depend on the sponsor’s arrangements and permissions.

Sponsorship may end when the associated engagement ends or the sponsor withdraws access. Continuing access may require a separate subscription.

An agency-services agreement with PLAYKIT LLC or another agency remains separate from these software terms unless expressly incorporated in writing.

5. Your content and permissions

You retain your rights in content you submit or make available through Trackr. These Terms do not transfer ownership of your content to us.

You grant us a non-exclusive license to host, store, copy, process, transmit, display, and publish that content as necessary to provide the features you authorize. This includes processing by service providers supporting those features.

You are responsible for having the rights and permissions needed for your content, connected accounts, and instructions. This includes rights in videos, music, images, trademarks, personal information, and any material republished to another platform.

Permission to use content on one platform does not necessarily authorize its use on another platform.

You are responsible for required advertising disclosures, sponsorship disclosures, and compliance with applicable laws and platform rules.

6. Connected platforms and automated publishing

Connect only accounts you own or are authorized to manage.

Enabling a publishing or cross-posting feature authorizes Trackr to perform the actions described by that feature using the connected account and configured settings. Review the destination, content, timing, and available controls before enabling it.

Publishing may be affected by authorization expiry, platform restrictions, API quotas, source-media availability, processing delays, and outages. We do not guarantee that every scheduled post will publish or publish at an exact time.

Stopping a connection or campaign may not cancel an action already in progress. Disconnecting a service does not automatically delete previously published content or historical information.

Third-party services are governed by their own terms. By using Trackr’s YouTube features, you agree to be bound by the YouTube Terms of Service.

Trackr is not affiliated with or endorsed by YouTube merely because it uses YouTube API Services.

7. Creator compensation and payment tools

Trackr can calculate proposed compensation, prepare invoices, record payment activity, and facilitate payments through providers such as Stripe.

Customers are responsible for reviewing compensation rules, invoice amounts, recipient details, funding instructions, and payment approvals. Calculations depend on customer settings and available data.

Payment processing, verification, settlement, and payout availability are subject to the provider’s requirements and terms. Additional fees may apply as disclosed in the payment flow.

Using Trackr’s payment tools does not by itself create an employment relationship with PLAYKIT LLC. Customers and creators remain responsible for their agreements, worker classification, tax obligations, required disclosures, and compliance with applicable laws.

Separate agreements under which PLAYKIT LLC directly engages creators continue to govern those engagements. These Terms do not eliminate payment obligations owed under those agreements.

8. AI-assisted features

AI-assisted features provide analysis, suggestions, classifications, and summaries. Outputs may be inaccurate, incomplete, or unsuitable for a particular purpose.

You are responsible for reviewing outputs before making decisions or publishing content. AI outputs are not legal, tax, financial, or employment advice and do not guarantee campaign results.

Do not submit information or content you lack authority to provide for processing through these features.

9. Sharing, integrations, and public links

You control whether to use available sharing, export, public-report, API, and integration features.

Information shared through public or bearer links may be accessible to people who receive the link. Authorized third-party applications may receive information according to the access granted.

You are responsible for reviewing the information and permissions involved before sharing. Removing access within Trackr may not retrieve copies already downloaded or retained by recipients.

10. Acceptable use

You must not:

  • Use Trackr unlawfully or infringe another person’s rights.

  • Access accounts, workspaces, or connected platforms without authorization.

  • Upload malicious code or interfere with service security or operation.

  • Evade usage limits or attempt to bypass access restrictions.

  • Use the service for fraud, harassment, spam, or deceptive activity.

  • Submit content or instructions that violate applicable platform rules.

  • Misrepresent your identity, authority, or relationship with a creator or brand.

  • Resell or sublicense access except as expressly permitted by us.

We may investigate suspected violations and take proportionate action to protect users, the service, and third parties.

11. Trackr intellectual property

PLAYKIT LLC and its licensors retain ownership of the Trackr software, designs, documentation, branding, and other service materials, excluding your content and third-party materials.

Subject to these Terms and your plan, we permit you to access and use Trackr for its intended purposes. No ownership rights in the service are transferred to you.

12. Confidentiality and privacy responsibilities

Each party must take reasonable care to protect non-public information received from the other that is identified as confidential or should reasonably be understood to be confidential.

This obligation does not cover information that is publicly available without a breach, independently developed, lawfully obtained elsewhere, or required to be disclosed by law.

Customers are responsible for providing appropriate notices and obtaining permissions for personal information they submit or instruct Trackr to process. A separate data-processing agreement, where entered into, governs processing covered by that agreement.

13. Suspension, termination, and data

You may stop using the service and cancel a subscription as described above. To request account or data deletion, email support@ugctrackr.com with your account email and a description of the request. Our support team handles deletion requests, subject to identity or authority verification where appropriate and the requirements described in our Privacy Policy. You do not need to use an in-app deletion control.

We may suspend or terminate access for material violations, nonpayment, security threats, legal requirements, or discontinuation of the service. Where practical and appropriate, we will provide notice and an opportunity to address the issue.

Subscription cancellation does not automatically delete workspace data. Retention and deletion are described in the Privacy Policy. We do not guarantee permanent storage or indefinite restoration of cancelled workspaces.

Termination does not remove accrued payment obligations or provisions intended to continue, including applicable confidentiality, intellectual-property, liability, and dispute provisions.

14. Disclaimers

To the extent permitted by law, Trackr is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted operation, error-free results, particular business outcomes, or continued availability of third-party integrations.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

15. Limitation of liability

To the extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from use of the service.

PLAYKIT LLC’s aggregate liability arising from these Terms or the service will not exceed the subscription fees paid or payable by the affected customer for Trackr during the 12 months preceding the event giving rise to the claim.

This limitation does not cap creator compensation or customer funds otherwise owed, excuse fraud or willful misconduct, or limit liability that cannot lawfully be limited.

16. Changes to these Terms

We may update these Terms to reflect service changes, business practices, or legal requirements. We will post the updated version and provide advance notice of material changes where required.

Changes will not retroactively alter rights that accrued before their effective date. If you do not agree to an update, you may stop using the service and cancel your subscription.

17. Governing law and disputes

These Terms are governed by California law, excluding its conflict-of-law rules, except where mandatory law requires otherwise.

Before starting a formal dispute, contact support@ugctrackr.com so we can attempt to resolve it.

Subject to mandatory rights to use another forum, disputes will be brought in the state or federal courts located in San Francisco, California. These Terms do not require mandatory arbitration or waive rights that cannot lawfully be waived.

18. General terms

A separate signed agreement controls where it expressly conflicts with these Terms.

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver of the right to enforce it later.

Neither party may transfer these Terms except with the other’s consent or as part of a lawful merger, reorganization, or sale of the relevant business, subject to applicable privacy and platform restrictions.
